Core Definitions
- “Service” refers to the Sentalica web application, Decision Workspaces, Procurement Copilot, intelligence databases, and programmatic API endpoints.
- “Public Procurement Data” refers to statutory tender notices, bidder registers, evaluation outcomes, contract awards, and audit reports sourced from the Government of Uganda (PPDA e-GP 2.0, OAG, URSB, URA, NSSF).
- “Decision Workspaces” refers to our 4 canonical analytical workflows: *Assess Eligibility, Verify Facts, Compare Subjects, and Explore Relationships*.
- “Intelligence Outputs” refers to derived indicators, evidence coverages, fraud anomaly flags, and synthesized decision briefs produced by Sentalica algorithms.
Nature of Intelligence & Zero-Fabrication Charter
Sentalica operates under a strict Zero-Fabrication Charter:
- Primary Facts: Tenders, awarded values, and corporate director registers represent direct sovereign records. Sentalica does not alter or manipulate raw public records.
- Derived Analytics: evidence coverages, evaluation delay metrics, and fraud signals represent algorithmic models intended for decision guidance, not definitive legal determinations.
- No Bid Guarantees: Passing an automated Gate 1 eligibility check in a workspace does not guarantee formal contract award by a government procuring entity.
Account Registration & Security
- You must be at least 18 years of age and authorized to bind your organization.
- You must maintain the confidentiality of your authentication credentials. All actions executed under your session are your organization's responsibility.
- You agree to provide true, accurate, and current profile information during onboarding and in your account settings.
Acceptable Use & Prohibited Actions
You agree to use the Service in compliance with all applicable laws. You shall not:
- Use intelligence outputs to facilitate anti-competitive conduct, collusive bidding, bid-rigging, or market allocation prohibited under the PPDA Act or Competition laws.
- Attempt to reverse engineer, decompile, or compromise the platform codebase or security perimeter.
- Circumvent published API rate limits, scrape automated endpoints without authorization, or disrupt platform infrastructure.
- Upload documents containing malware, corrupted payloads, or confidential material you lack legal authorization to possess.
Intellectual Property Rights
5.1 Platform Property
All platform interfaces, proprietary algorithms, PCI weighting formulations, database schemas, and brand assets remain the exclusive intellectual property of Sentalica Uganda Limited.
5.2 User Content Ownership
You retain full ownership of all private documents and bid files uploaded into your workspaces. You grant Sentalica a limited, secure licence solely to parse, analyze, and generate decision briefs for your account.
Developer API Terms & Rate Limits
- API access requires an active authorization bearer token.
- Tokens are strictly confidential. Sharing API keys or reselling raw API feeds without an enterprise agreement is strictly prohibited.
- Sentalica reserves the right to throttle or suspend tokens that exceed standard rate limits or exhibit anomalous request spikes.
Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. SENTALICA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED UNDER THE LAWS OF UGANDA, SENTALICA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, OR FOR LOSS OF PROFITS, BID OPPORTUNITIES, OR BUSINESS REPUTATION ARISING OUT OF YOUR USE OF THE SERVICE. OUR MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the substantive laws of the Republic of Uganda, including the Electronic Transactions Act, 2011, the Data Protection and Privacy Act, 2019, and the Public Procurement and Disposal of Public Assets Act, 2003 (as amended).
Any dispute arising out of these Terms shall first be submitted to good-faith mediation in Kampala, Uganda. If unresolved within 30 days, the dispute shall fall under the exclusive jurisdiction of the Courts of Uganda.
